1. Agreement to Terms
These Terms of Use (“Terms”) govern your access to and use of the VeriFact application for Zoom and related services (the “Service”), provided by VeriFact (“VeriFact,” “we,” “us”). By installing, activating, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. The Service
VeriFact is a Zoom App that, when activated by a meeting host, joins the meeting as a bot, transcribes spoken audio in real time, detects factual claims, and verifies those claims against reference documents that the host’s organization has uploaded in advance. Results, supporting passages, and citations are surfaced in a side panel during the meeting and in a post-meeting view.
3. Eligibility
You must be at least 16 years old to use the Service. If you are installing or activating VeriFact inside a Zoom organization, you must have the authority within that organization to do so and to agree to these Terms on its behalf.
4. Your Account and Organization
Authentication is performed through Zoom OAuth. You are responsible for keeping your Zoom credentials secure and for all activity that occurs under your VeriFact account. Notify us immediately at support@verifact.live if you suspect unauthorized use.
5. Acceptable Use
You agree not to:
- use the Service for any unlawful purpose or in violation of any applicable law;
- scrape, crawl, or otherwise extract data from the Service through automated means;
- reverse engineer, decompile, or attempt to derive the source code of the Service except as expressly permitted by law;
- interfere with, disrupt, or attempt to gain unauthorized access to the Service;
- use the Service to record or transcribe meetings in jurisdictions where doing so is prohibited or where required consents have not been obtained.
6. Content You Provide
You retain ownership of the reference documents you upload and of the transcripts and outputs that the Service generates from your meetings. You grant VeriFact a non-exclusive, worldwide license to host, store, transmit, and process this content solely as necessary to provide the Service to you and your organization.
You represent that you have the rights necessary to upload your reference documents and to permit transcription of the meetings in which you activate the VeriFact Bot.
7. Fact-Checking Disclaimer
VeriFact’s claim detection and verification verdicts are produced by automated systems, including a large language model performing retrieval-augmented generation over your organization’s documents. These systems can be wrong. Verdicts may be incorrect, incomplete, or misleading. Citations may not always exactly support the verdict shown.
You should not rely on VeriFact verdicts as the sole basis for any decision with legal, medical, financial, safety-critical, or other consequential implications without independent verification.
8. Service Availability
We provide the Service on a best-effort basis and do not guarantee uninterrupted, error-free, or continuously available operation. We may modify, suspend, or discontinue any part of the Service at any time.
9. Termination
We may suspend or terminate your access to the Service at any time for breach of these Terms or for conduct that we reasonably believe creates liability or harms other users.
You may terminate your use at any time by uninstalling the VeriFact App from Zoom (see the user guide). To delete the data associated with your account, email support@verifact.live; we will complete deletion within 30 days.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERIFACT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
IN NO EVENT WILL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100), OR (B) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to defend, indemnify, and hold harmless VeriFact and its personnel from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of (a) your use of the Service in violation of these Terms or applicable law, or (b) the content you upload or the meetings in which you activate the VeriFact Bot.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any dispute arising under these Terms will be brought in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
14. Changes
We may update these Terms from time to time. We will post any updates on this page and update the “last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
